Membership Agreement

1. Parties

This Membership Agreement (the "Agreement") has been electronically concluded between;

Kalem İnternet Hizmetleri Ltd. Şti.
which operates the mertergiyim.com website and shall hereinafter be referred to as the "Site Operator";

and the natural or legal person who becomes a member of the mertergiyim.com website.

The person who becomes a member shall hereinafter be referred to as the "Member".

2. Subject of the Agreement

The purpose of this Agreement is to determine the rights and obligations of the Member during and after the membership process on the mertergiyim.com website, the terms applicable to the membership services provided by the Site Operator, and the mutual responsibilities of the parties.

mertergiyim.com primarily operates to promote and offer wholesale women's and men's clothing products for sale online.

Completing the membership process does not mean that the Member is required to purchase products.

3. Membership Conditions

The information provided by the Member during the membership process must be accurate, up to date, and complete.

The Member is responsible for the accuracy of the information provided when creating a membership account. If the information changes, the Member is responsible for updating the account details.

The membership account is personal to the Member. The Member is responsible for the security of their username, email address, password, and other account information.

The Member may be held responsible for consequences arising from the use of the membership account by third parties if the necessary security measures have not been taken.

4. Use of the Membership Account

The Member agrees to use the account created on mertergiyim.com in accordance with applicable legislation, this Agreement, and the usage rules established by the Site Operator.

Transactions carried out using the membership account shall be deemed to have been performed by the Member. The Member must not allow third parties to use their account information.

The Member agrees and undertakes;

not to provide false information,
not to use information belonging to other persons without authorization,
not to carry out activities that may damage the Site's technical infrastructure,
not to engage in activities that may disrupt the normal operation of the Site,
not to submit unlawful content, requests, or transactions,
not to attempt to access the accounts or personal information of other members.

5. Wholesale Sales

Products offered for sale on mertergiyim.com are primarily offered for wholesale purposes.

The sales terms, minimum order quantities, product quantities, prices, and other commercial terms may vary by product.

The Site Operator reserves the right to update the sales terms of products in accordance with applicable legislation without prior notice.

If technical or system-related errors occur in the price, stock, color, size, quantity, or similar information displayed on product pages, the Site Operator may make the necessary corrections.

6. Orders and Purchases

Creating a membership alone does not constitute a sales agreement.

Acceptance of an order placed by the Member and completion of the sale are subject to fulfillment of the payment and other sales conditions applicable to the order.

Before placing an order, the Member must check the product price, quantity, delivery details, and other relevant information.

By placing an order, the Member shall be deemed to have accepted the sales terms presented during the ordering process.

Rights and obligations relating to distance sales transactions are additionally regulated under the Distance Sales Agreement and the Preliminary Information Form.

7. Payment

The Member may use the payment methods specified on mertergiyim.com for purchases.

The Site Operator reserves the right to change payment methods, add new payment methods, or remove certain payment methods.

For payments made by credit card, bank transfer, or EFT, processing of the order is subject to receipt of the payment in the Site Operator's account.

The Member is responsible for entering the payment information correctly.

8. Delivery and Shipping

Delivery and shipping terms may vary depending on the product, order, and delivery address.

Fees for cargo, transportation, warehouse, or other shipping services shall be applied according to the terms specified during the ordering process, including which party is responsible for such fees.

9. Returns and Exchanges

Depending on the nature of the Member's purchase, return and exchange terms shall apply within the framework of applicable legislation and the sales terms established by the Site Operator.

For returns and exchanges, the product may be required to be unused, in a condition suitable for resale, and compliant with the applicable terms.

Consumers' mandatory statutory rights in consumer transactions are reserved.

10. Protection of Membership Information

Personal data provided by the Member during membership shall be processed in accordance with applicable legislation on the protection of personal data.

The purposes for which personal data is processed, the parties with whom it may be shared, retention periods, and the rights of the Member are explained in the KVKK Information Notice.

The Member may review the relevant information notice before completing the membership process.

11. Electronic Communications

The Member agrees that notifications regarding the membership account, order and payment processes, and electronic communications necessary to provide the service may be sent to the communication channels provided during membership.

Commercial electronic communications shall be sent, where required, based on separately obtained consents and in accordance with applicable legislation.

12. Intellectual and Industrial Property Rights

Unless otherwise stated, the intellectual and industrial property rights in the product visuals, photographs, texts, graphics, logo, design, software, domain name, trademark, and other content on mertergiyim.com belong to the Site Operator or the relevant rights holders.

Unauthorized copying, reproduction, commercial use, or publication of Site content on other websites is prohibited.

13. Suspension or Termination of Membership

If the Member acts in violation of this Agreement, applicable legislation, or the Site usage rules, the Site Operator may temporarily suspend the relevant account or terminate the membership.

The Site Operator reserves the right to take the necessary administrative and legal action in cases involving the use of false information, use of another person's account information, damage to the Site's technical infrastructure, fraudulent transactions, or unlawful activities.

The Member may request termination of their membership at any time.

Termination of membership does not automatically eliminate the rights and obligations arising from previously completed orders or from applicable legislation.

14. Updating Site Content

The Site Operator reserves the right to update or change product information, prices, stock status, campaigns, membership terms, and other content on the Site.

Subject to cases where applicable legislation requires otherwise, such changes shall take effect on the date they are published on the Site.

15. Technical Interruptions

To the extent permitted by applicable legislation, the Site Operator shall not be held liable for the temporary unavailability of the Site due to internet infrastructure, servers, software, maintenance, updates, technical failures, or third-party service providers.

The Site Operator shall carry out the necessary technical work to ensure that the service continues as reliably as possible.

16. Amendments to the Agreement

The Site Operator may amend this Membership Agreement in accordance with applicable legislation and the operating conditions of the Site.

The updated Agreement shall take effect on the date it is published on the Site.

17. Resolution of Disputes

The laws of the Republic of Türkiye shall apply to disputes that may arise from the implementation of this Agreement.

For disputes arising from consumer transactions, the consumer's statutory rights to apply and the provisions concerning competent authorities are reserved.

For commercial transactions, applications shall be made to the competent and authorized authorities in accordance with applicable legislation.

18. Effective Date

When the Member fills out the membership form and completes the membership process on the mertergiyim.com website, the Member declares that they have read this Agreement, reviewed its provisions, and accepted the terms applicable to the membership.

This Agreement shall enter into force on the date it is accepted electronically by the Member.
